Biography
Lan Luh Luh received her Master of Law (First Class) from the University of Cambridge, UK in 1994 and her PhD from the National University of Singapore in 2005. Prior to that, she was a former Overseas United Bank scholar (1985-1989) and graduated with an LLB (Hons) (2nd Upper) from the Faculty of Law, National University of Singapore in 1989. In addition, A/Prof Lan is a qualified Advocate and Solicitor of the Supreme Court of Singapore. Prior to joining the National University of Singapore, she worked for a major law firm in Singapore as a corporate finance lawyer.
A lawyer by training and with specialization in corporate finance law, her areas of research include company law, legal issues in international finance and corporate governance. Her recent publications include an article with the Harvard Business Review (June 2005) on “Shareholder Votes for Sale” and an article entitled “Negotiating the Minefields of Corporate Vote Buying” published in Corporate Governance: An International Review (2007). She was also involved in the writing of the latest edition of Walter Woon on Company Law and Woon’s Corporations Law, the two leading law books on company law in Singapore and Malaysia. She has just completed writing a chapter on “Sale of Securities” for a book on Law on Specific Contracts, to be edited by Senior Counsel Michael Hwang and Professor Yeo Tong Min (of NUS Law School). In the past, she has published a number of papers, including issues relating to directors’ duties, in journals such as the Journal of Public Policy and Marketing, Journal of Business Law, Singapore Journal of Legal Studies.
Her consulting experience includes advising and reviewing of syndication documentation for a loan of US$45 million to an Indonesian company, building a library database of syndicated loan agreements for a law firm, advising companies on issues related to initial public offering in Singapore, and reviewing the documentations involved in venture capital financing. She has also been invited to speak in various corporate workshops on corporate governance and corporate finance locally and overseas. Her university teaching portfolio of courses includes the third year Corporate and Securities Law course, the Corporate Governance courses at the Executive MBA level (both English and Mandarin) and in the highly prestigious UCLA-NUS EMBA program.
Prof Lan is proficient both in English and Chinese Languages. Besides her career in the academia, she is a regular contributor of literary works to the local Chinese newspapers and magazines. She has held personal columns in the leading Chinese newspaper Lianhe Zaobao.
In terms of service, other than being the Co-Director for the Centre, Prof Lan is currently the Assistant Dean (undergraduate academic matters) of the NUS Business School and. She also sits on the Selection Boards for EMBA (Chinese) Programme and EMBA (English) Programmes.
